Aeroflex Announces Agreement with TestMart

Aeroflex Test and Measurement Solutions Now Easier to Research and Buy for Military Personnel, and Government Users and Contractors

SAN BRUNO, CA AND WICHITA, KS, - March 31, 2004

Aeroflex Incorporated (Nasdaq Symbol: ARXX), a leading designer, developer and manufacturer of automated testing solutions and microelectronics for the aerospace, defense and broadband communications markets, announced today that its Aeroflex Test Solutions group has formed a partnership by signing a license agreement with TestMart, the leading marketplace operator and service provider for the test and measurement industry. Under this agreement TestMart will provide a set of government marketplace services to better serve Aeroflex's diverse federal and defense related customer base.

The agreement authorizes TestMart to offer a catalog of Aeroflex products that will be made available for sale specifically in the government and military channel. TestMart will offer this catalog under a set of General Services Administration (GSA) Multiple Award Schedules (MAS) and will provide content, transaction, marketing and reporting services to help support the sale of the products in the catalog. TestMart will provide the presentation and ordering processing of these products though the GSA's e-commerce Web site, GSA Advantage, and through the company's two online marketplaces www.testmart.com and www.navicpmart.com. TestMart is the industry leading commercial test equipment marketplace and NAVICPmart is the test equipment e-commerce marketplace operated under contract from the federal government specifically for the use of the U.S. military, federal agencies and their contractors.

Under terms of the agreement, Aeroflex's test solutions that are applicable for military and government applications will be made available to all branches of the federal government, U.S. military and authorized prime contractors. These test solutions include radio test sets, communications monitors and sophisticated signal generators.
